The annual statement on the beneficial owner of the legal entity

Conf.Legii no. 129/2019 on preventing and combating money laundering and terrorist financing, legal persons subject to registration with the Trade Register, made annually or whenever there is a change statement on the beneficial owner of a legal person for registration in the real beneficiaries companies.

Annual Statement is filed with the Trade Register of registration of the legal entity within 15 days from the approval of the annual financial statements (balance sheet), and if there is a change in the identification of the beneficial owner, the declaration shall be submitted within 15 days the date on which it occurred.

The statement may be given to the representative trade registry office or can be submitted in original or through a representative.

Failure to submit the statement sanctioned by the NTC ANAF or a fine of 5,000 lei to 10,000 lei. If within 30 days from the date of application of sanction legal person has not filed the statement on the identification of the beneficial owner, the National Trade Register Office, the court or, where appropriate, specialized court will pronounce the dissolution of society.
